1. Agreement to Terms

By accessing or using Vaerk ("the Service"), provided by Jakobsen Digital OU ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Vaerk is a time tracking, project management, and invoicing platform that helps freelancers and agencies manage clients, track time, and generate invoices. The Service is provided on a "freemium" basis with optional paid features.

3. User Accounts

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your password and account credentials
  • Promptly update your account information if it changes
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access to your account

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit viruses, malware, or other malicious code
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Resell or redistribute the Service without our written consent
  • Use the Service to store or transmit any content that infringes third-party rights

5. Subscription Plans and Billing

5.1 Free Plan: We offer a free tier with limited features. The free plan may have restrictions on the number of subscriptions you can track.

5.2 Paid Plans: Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method automatically at the start of each billing period.

5.3 Price Changes: We may change our prices at any time. Price changes will be communicated to you at least 30 days before they take effect. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the new price.

5.4 Taxes: All prices are exclusive of taxes. You are responsible for any applicable taxes based on your location.

6. Cancellation and Refunds

6.1 Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Jakobsen Digital OU and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our express written permission.

8. User Data

You retain ownership of all data you submit to the Service. By using the Service, you grant us a limited license to use, store, and process your data solely to provide and improve the Service. We handle your data in accordance with our Privacy Policy.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. VAERK IS A TIME TRACKING AND PROJECT MANAGEMENT TOOL AND DOES NOT GUARANTEE ACCURACY OF TIME ENTRIES OR INVOICE CALCULATIONS. WE ARE NOT RESPONSIBLE FOR ANY BILLING DISPUTES WITH YOUR CLIENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAKOBSEN DIGITAL OU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Jakobsen Digital OU and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from your use of the Service or violation of these Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Estonia.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by sending you an email. Your continued use of the Service after changes become effective constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
